Glen Lily Owners/members

This petition calls on the Trustees of Glen Lily to urgently set a date for an SGM. This is on the basis that the AGM held on 13 September 2023 was invalid and unconstitutional due to failure to follow the proxy procedure as set out in the constitution. New trustees must be elected, and specific concerns raised by owners must be resolved in a timely manner. Any decisions made during the AGM must also be declared invalid until the new meeting has taken place.

Please refer to the constitutional rules set out below:
- 26.2 of the Glen Lily Constitution states that proxies must be chosen at least 24 hours prior to the meeting (proxies were elected at the AGM, not 24 hours before).
- On the Proxy Form circulated for the AGM, it is stated, “a person may not act as a proxy for more than two members of the HOA.”
During the AGM, members of the trustees each held proxies for much more than two members, thereby holding more votes than is legal.
- Quorum was therefore not legally met at the AGM.
